THE AM640 FORD POWERPLAY CONTEST (the “Contest”)

Official Rules and Regulations (the “Contest Rules”)

NO PURCHASE NECESSARY

This Contest is void where prohibited by law and is subject to all federal, provincial, territorial and municipal laws and regulations of Canada.

1. THE CONTEST PERIOD

The Contest commences at 12:01 a.m. EST on Monday, November 23, 2009 and concludes at 11:59 p.m. EST on Saturday April 10, 2010 (the “Contest Period”).

2. ELIGIBILITY

The Contest is open only to residents of Ontario who are 18 years of age or older. Employees and directors of Ford Motor Company of Canada, CFMJ-AM Radio (“AM640”), Corus Entertainment Inc. (“Corus”) (collectively the “Contest Sponsors”), Maple Leaf Sports and Entertainment Ltd. (“MLSE”) or any affiliate (as defined in the Canada Business Corporations Act) of AM640 or Corus (the “Affiliates”) employees, directors and officers of their respective advertising and promotional agencies, as well as family members of any of the foregoing or those with whom they are domiciled are not eligible to enter the Contest.

3. HOW TO ENTER AND WIN

No purchase necessary.
To enter the Contest, a person must:
i) be a registered member of “The AM640 Insider” (the “Club”). To join the Club, visit www.640toronto.com (the “Website”) and complete the online registration form in full. All existing members of the Club are eligible to enter the Contest.
ii) visit the Website during the Contest Period and log-in to the Club. Go to the “Contests” section of the Website, locate the “Ford Powerplay Contest” and click on “ENTER NOW” to enter the Contest.

Limit one (1) entry per person. Multiple entries will be discarded. Entries are subject to verification and will be declared invalid if they are reproduced, falsified, altered or tampered with in any way.

All entries shall become the property of the Contest Sponsors and its advertising and promotional agencies. The Contest Sponsors assume no responsibility for lost, stolen, destroyed or otherwise indecipherable entries due to any failure or technical malfunction of the network, on-line computer systems or equipment, servers, access providers, software, poor reception, technical problems, failure of any email or submission or due to any other reason regardless of cause.

4. THE PRIZES

Secondary prizes:
The total number of Secondary Prizes to be awarded in Ontario is dependant on and determined by the total number of Toronto Maple Leaf powerplay goals scored throughout the Contest Period. A secondary prize consists of the following:

• One (1) Toronto Maple Leafs souvenir hockey stick autographed by the Toronto Maple Leafs player who scored the applicable powerplay goal when the Club member name is drawn and announced on air (each a “Secondary Prize”).
Approximate retail value of each Secondary Prize is $300.00 CDN.

The chances of winning a Secondary Prize are solely dependant on the total number of eligible entries received up to the time of the game broadcast for which a Club member name is drawn and announced when the Toronto Maple Leafs go on a powerplay.

Grand Prizes:
Two (2) grand prizes will be awarded in Ontario, each consisting of:

• One (1) VIP night for ten (10) at the Toronto Maple Leafs 2010/2011 home opening game at the Air Canada Centre (date and specific seating to be determined) in Toronto, Ontario which includes ten (10) game admission tickets, a 3 course meal for each attendant at the Air Canada Club Restaurant and ten (10) official Game Day Programs (each a “Grand Prize”).
Approximate retail value of each Grand Prize is $2,850.00 CDN.

The chances of winning a Grand Prize are solely dependant on the total number of Secondary Prizes awarded throughout the Contest Period.

5. PRIZE CONDITIONS

All incidental costs and expenses not specifically referred to herein, including (without limitation) transportation to and from the Air Canada Centre, gratuities, entertainment, alcoholic beverages, concession food and beverages, souvenirs and items of a personal nature, delivery of a prize, and any expenses not specifically listed herein as part of a prize description are the sole responsibility of a winner (and/or guest where applicable), and a winner (and/or guest where applicable) shall not seek reimbursement for same from the Contest Sponsors or their respective advertising and promotional agents.

Where applicable, a winner may be required to present a valid major credit card in the winner’s name at the Air Canada Club Restaurant prior to the Grand Prize meal to cover any charges not included in the Grand Prize.

The Contest Sponsors make no representation or offer any warranty, express or implied, as to the quality or fitness of a prize. A prize winner understands and acknowledges that he/she may not seek reimbursement or pursue any legal or equitable remedy from AM640 or Corus should a prize fail to be fit for its purpose or is in any way unsatisfactory to the prize winner.

6. PRIZE SUBSTITUTION

Prizes and prize portions are non-exchangeable, non-transferable, non-refundable, have no cash surrender value and must be accepted as awarded with no substitutions. The Contest Sponsors reserve the right, in their sole discretion, to substitute and/or modify a prize, or prize portion, with (a) prize(s) of equal or greater value for any reason. Should a winner be unable to claim his/her prize or prize portion as awarded, his/her rights to that prize or prize portion will be forfeited.

7. WINNER SELECTIONS

Beginning Friday, November 27, 2009, during every Toronto Maple Leafs play by play broadcast on AM640 radio throughout the 2009/2010 regular season (the “Regular Season”), one (1) Club member will be randomly drawn from among all eligible entries received up to the time of the relevant broadcast whenever the Toronto Maple Leafs go on a powerplay. The Club member selected will be announced on air. If the Toronto Maple Leafs score a goal during the applicable powerplay, the corresponding selected Club member will be awarded one (1) Secondary Prize and will become eligible to win a Grand Prize.

On Tuesday, April 13, 2010 at approximately 11:00 am at the offices of AM640 in Toronto, Ontario, two (2) Grand Prize winners will be selected by a random draw from among all Secondary Prize winners.

Grand Prize winners will be contacted by a representative of AM640 radio within seven (7) calendar days of the draw via telephone and e-mail, as provided by the entrant on his/her Club registration form. If a potential Grand Prize winner is found to be ineligible, declines to accept the prize, or is unable to be contacted within five (5) business days of the first attempt to contact by AM640, the prize will be forfeited and, at the Contest Sponsors’ sole discretion, the prize may be awarded to an alternate winner selected via random draw from all remaining eligible entries.

8. DECLARATION AND RELEASE OF PRIZE WINNER

Before being awarded a Secondary Prize or Grand Prize, a prize winner (and his/her guest(s) where applicable) must:

a) Correctly answer, unaided, a time-limited skill-testing mathematical question to be administered at the offices of AM640, and

b) Sign a standard form confirming that by entering the Contest:

- he/she read, understood and accepted the Contest Rules;

- that he/she understands that acceptance of a prize may involve danger and/or exposure to risks and hazards of both man-made and natural origin, whether arising from foreseeable or unforeseeable human error and negligence, and that, as a result, he/she may suffer damage to personal property, serious personal injury, illness or even death;

? that he/she nevertheless freely and voluntarily agrees and does hereby assume any and all risks of personal injury, illness, death arising out of or connected with his/her participation in the Contest and winning a prize; and

? that he/she releases the Contest Sponsors, the Affiliates, Maple Leaf Sports & Entertainment Ltd., the National Hockey League and its member teams, NHL Enterprises Canada LP, and all of their directors, officers, employees, agents as well as their respective advertising and promotional agencies (collectively, the “Released Parties”) from any and all liability arising in connection with participation in the Contest and acceptance, use, and/or enjoyment of a prize, including, without limitation, any financial, legal or moral responsibility or loss or personal injury including death or damage to or loss of property suffered or incurred or arising from participating in the Contest or accepting a prize, whether suffered by the prize winner, or by his/her heirs, administrators, personal representatives or executors, and notwithstanding that such injuries or losses may have been caused solely or partly by any act, omission, negligence or gross negligence of any or all of the Released Parties.

9. DEADLINE FOR CLAIMING A GRAND PRIZE

Following confirmation as a Secondary Prize or Grand Prize winner in accordance with the Contest Rules, selected entrants will be given instructions and a deadline as to how they must claim his/her prize. Potential winners who fail either to claim his/her prize or to inform AM640 of his/her inability to claim the prize before the deadline, as instructed when contacted, will forfeit his/her prize.

10. TERMINATION/MODIFICATION

Subject to applicable law, the Contest Sponsors reserve the right to cancel, suspend, terminate, modify the Contest Rules or administration of the Contest, in whole or in part, without prior notice with no obligation or liability, including, if for any reason, the Contest is not capable of running as planned, whether due to technical failure, tampering, fraud, corruption of security or other causes beyond the control of the Contest Sponsors.

11. PUBLICITY

By entering the Contest, prize winners consent to the use of his/her name, city of residence, photograph, voice, likeness, image or any other aspect of his/her personality for any publicity and programming purposes, commercial or otherwise, in all media used by the Contest Sponsors, their promoters, advertising and promotional agencies, without any payment or compensation. A prize winner further agrees that his/her audio reaction may be used for on-air promotional purposes. The Contest entrants understand and acknowledge that AM640 may contact him/her on-air without prior knowledge as a result of his/her participation in the Contest.

12. COLLECTION AND USE OF PERSONAL INFORMATION

By entering the Contest and voluntarily providing personal information including, but not limited to, name, address, city, email address, home and office telephone numbers (the “Registrant Information”), each Contest entrant grants AM640 and Corus permission to collect and use the Registrant Information for the exclusive purpose of administering the Contest and selecting prize winners. No correspondence will take place between the Contest Sponsors and the entrants except in connection with the Contest and, in the case of a prize winner, as a result of entering the Contest and winning a prize. Personal information provided in connection with the Contest and Club membership is subject to AM640’s privacy policy which can be found at www.640toronto.com/PrivacyPolicy.aspx.

13. COMPLIANCE WITH CONTEST RULES

All contestants agree to abide by the Contest Rules, which are subject to change at the sole discretion of the Contest Sponsors.

14. LIMITATION OF LIABILITY:

By entering the Contest and/or accepting any prize, the entrant agrees that the Contest Sponsors, and their parent, subsidiaries, affiliates, directors, officers, shareholders, employees, advertising and promotion agencies involved in the Contest shall have no liability and shall be held harmless by the entrant for any damage, loss or liability to person or property, due in whole or in part, directly or indirectly, by reason of entering the Contest, the acceptance, possession, use, enjoyment or misuse of any prize, or while preparing for, participating in any prize-related activity. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event, shall include legal fees. The Contest Sponsors and their promotion and advertising agencies are not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by the Contest Sponsors, users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the Contest.

15. TAMPERING:

If for any reason the Contest is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the reasonable control of the Contest Sponsors that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Contest, the Contest Sponsors reserve the right, at their sole discretion, to cancel, terminate, modify, extend or suspend the Contest and/or prizes. The Contest Sponsors further reserve the right to disqualify, from this Contest and future contests of the Contest Sponsors, any individual who tampers with or in any way corrupts the entry process. The Contest Sponsors may prohibit an entrant from participating in the Contest or winning a prize if, in the Contest Sponsors’ sole discretion, the Contest Sponsors determine that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or any unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or the Contest Sponsors representatives.

CAUTION: Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the contest may be in violation of criminal and civil laws and should such an attempt be made, the Contest Sponsors reserve the right to seek remedies and damages (including lawyers’ fees) from any such entrant or any other individual to the fullest extent permitted by law, including criminal prosecution.

16. ADMINISTRATION OF CONTEST:

This Contest is administered by Corus and AM640, whose principal place of business is at 1 Dundas Street West, Suite 1600, Toronto, Ontario, M5G 1Z3.


17. CONTEST SPONSOR AND PRIZE SUPPLIER

Participants in the Contest acknowledge that Ford Motor Company of Canada’s only involvement with this Contest is solely in the capacity of a Contest sponsor and MLSE’s only involvement is as prize supplier. Ford Motor Company of Canada and MLSE are not responsible or liable with respect to the administration of the Contest or the awarding of any prizes and all such responsibility and liability rests solely with Corus and AM640.
